Contractual terms for our services
1. Scope
These General Terms and Conditions (GTC) apply to all contracts between Sunlonix OÜ, Tallinn, Estonia (hereinafter "Sunlonix") and its clients (hereinafter "Client") for the provision of IT services, consulting services, and software development.
2. Scope of Services
The scope of services to be provided is determined by the respective service description or individual offer. Changes or extensions to the scope of services require the written agreement of both parties.
3. Offers and Contract Formation
Our offers are non-binding. A contract is only concluded through written order confirmation or by commencement of service delivery. All prices are in Euros, plus applicable VAT.
4. Payment Terms
Invoices are due within 14 days of the invoice date without deduction. For projects exceeding €10,000, milestone-based partial payments may be agreed. Sunlonix reserves the right to suspend service delivery in case of payment default.
5. Liability
Sunlonix has unlimited liability for intent and gross negligence. In cases of slight negligence, liability is limited to the typical, foreseeable damage. Liability for indirect damages, particularly lost profits, is excluded to the extent permitted by law.
6. Data Protection and Confidentiality
Sunlonix commits to compliance with the GDPR and all applicable data protection laws. Confidential information of the Client will be used exclusively for contract fulfillment and will not be disclosed to third parties. A separate Data Processing Agreement (DPA) can be concluded upon request.
7. Changes to Terms
Sunlonix reserves the right to amend these GTC as necessary. Changes will be communicated to the Client in a timely manner. If the Client does not object within 30 days, the amended GTC shall be deemed accepted.
8. Applicable Law and Jurisdiction
The law of the Republic of Estonia shall apply. The place of jurisdiction for all disputes arising from the contractual relationship is Tallinn, Estonia. For consumers, the mandatory consumer protection provisions of their country of residence shall apply.
